Terms of Service

🌱 By using Nearmi, you agree to these terms. The short version: be a good neighbor, don't abuse anonymity, and understand that 45% of your subscription goes to charity your community votes on.

1. Acceptance of terms

By downloading, accessing, or using the Nearmi mobile application or website ("Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the Service.

These Terms constitute a legally binding agreement between you and Nearmi LLC, a Colorado limited liability company ("Nearmi," "we," "us," or "our").

2. Eligibility

You must be at least 13 years old to use Nearmi. By using the Service, you represent that you are at least 13 years of age. If you are under 18, you represent that your parent or guardian has reviewed and agreed to these Terms on your behalf.

3. Account registration

To use Nearmi, you must create an account using a valid email address, Google account, or Apple ID. You are responsible for maintaining the security of your account credentials. You must notify us immediately of any unauthorized use of your account at hello@nearmiapp.com.

You may only create one account per person. Creating multiple accounts to circumvent bans or restrictions is prohibited.

4. Subscription and payment

Nearmi is a paid subscription service. The current subscription fee is $5.00 USD per month, billed monthly. Subscriptions automatically renew until cancelled.

You may cancel your subscription at any time through the App Store. Cancellations take effect at the end of the current billing period. We do not offer refunds for partial subscription periods.

Nearmi LLC commits to donating 45% of net subscription revenue each month to the charity selected by community vote. This percentage applies to net revenue after payment processing fees and applicable taxes. Charity recipients are verified 501(c)(3) nonprofits. Donation receipts are published monthly within the app.

5. Referral program

Nearmi offers a referral program where you earn $1.00 USD per month for each active subscriber you refer. Referral credits are applied as account credits toward your subscription fee. Credits have no cash value and are non-transferable.

Credits are not applied immediately upon signup. A referred user must complete at least one full calendar month as an active paying subscriber before any referral credit is applied to your account. If a referred user cancels or fails to complete their first full month, no credit is issued. Credits for subsequent months continue as long as the referred user remains an active subscriber.

Nearmi reserves the right to modify, suspend, or terminate the referral program at any time with 30 days notice to affected users. Fraudulent referrals — including self-referrals, fake accounts, or artificial inflation of referral counts — will result in immediate account termination and forfeiture of all credits.

Nearmi allows anonymous posting as a core feature. However, anonymity is a privilege, not a shield. Your true identity is on file with Nearmi LLC at all times. We reserve the right to:

8. Content ownership

You retain ownership of the content you post on Nearmi. By posting content, you grant Nearmi LLC a non-exclusive, royalty-free, worldwide license to display, distribute, and store your content solely for the purpose of operating the Service. This license ends when you delete the content or your account.

You represent that you have the rights to post any content you submit and that your content does not infringe the intellectual property rights of any third party.

9. Content moderation

We reserve the right to remove any content that violates these Terms or that we determine, in our sole discretion, is harmful to the community. We may suspend or permanently ban accounts that repeatedly violate these Terms. We are not obligated to provide notice before removing content or suspending accounts in cases of severe violations.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEARMI LLC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Nearmi is not responsible for the content posted by users. We do not endorse any user-generated content or any opinions expressed by users.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEARMI LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID TO NEARMI IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Governing law

These Terms are governed by the laws of the State of Colorado, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Denver, Colorado.

13. Changes to terms

We may update these Terms from time to time. We will notify you of material changes via push notification or email at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

14. Termination

You may terminate your account at any time by deleting your account in the app or contacting us at hello@nearmiapp.com. We may terminate or suspend your account at any time for violations of these Terms. Upon termination, your right to use the Service ceases immediately.
